Edconic Pre-College Summer Program Scholarship Giveaway with Harlan Cohen
Official Rules

  1. Sponsor: BrandEd Holdings LLC (Edconic), 570 Lexington Ave., New York, N.Y. 10022 (“Sponsor”).
  2. Eligibility: The 2025 Edconic Pre-College Summer Program Scholarship Giveaway (the “Giveaway”) is open only to legal residents of the continental United States and the District of Columbia who are at least fourteen (14) years old at the time of entry (each, an “Entrant”). Entrants under the age of 18 may enter with parent’s or legal guardian’s permission. Employees and immediate families of employees of Sponsor or its parent and affiliate companies are not eligible. No purchase necessary for entry. The Giveaway is subject to all applicable federal, state, and local laws and regulations. Void where prohibited. Participation constitutes Entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Giveaway. Winning a scholarship is contingent upon fulfilling all requirements set forth herein.
  3. How to Enter: To enter, you must register for the live event “Happy Healthy Almost Stress-Free College Planning For Parents and Students” (the “Live Event”). Participants may also enter the prize draw by submitting an entry by mail with the participant’s name, mailing address, email address, and phone number, and the text “Edconic Prize Draw)]” to BrandEd Holdings LLC, 570 Lexington Avenue, 6th Floor, New York NY 10023, Attn: Legal Department. All write-in entries must be received no later than October 21, 2025. Only one entry per person is allowed. 
  4. Entry Period: The Giveaway Period begins at 12:00 a.m. E.T. on October 17, 2025, and ends at 5:00 p.m. CST on October 22, 2025 (the “Giveaway Period”). To be eligible, submissions must be received during the Giveaway Period. Sponsor is not responsible for entries that are late, lost, stolen, misdirected, nondeliverable or illegible due to any reason whatsoever.
  5. Prize: One (1) scholarship will be awarded to a randomly selected Entrant. Scholarship winner will receive one (1) full-tuition scholarship (exclusive of housing, meals and airfare) to an Edconic pre-college program of their choice in the United States. Approximate value of prize is $5000. The prize is non-transferable, and no cash alternative is available. Sponsor reserves the right to substitute the prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winner is responsible for all taxes and fees associated with prize receipt and/or use.
  6. Winner Selection: The winner will be chosen by the Live Event host at random from all valid entries received during the entry period. The selection will take place on or about October 24, 2025.
  7. Notification: The potential winner will be announced during the Live Event and contacted formally via email at the address provided on their entry, and such notification will direct them on how to redeem their prize. The potential winner will be required to complete a program application, meet the admissions criteria and sign and return to Sponsor, within ten (10) days of the date notice or attempted notice is sent, confirmation of their eligibility in order to claim the scholarship prize. If the potential winner is under the age of 18, Sponsor may request that the potential winner’s parent or legal guardian sign on behalf of the winner. If the winner does not complete the application, meet the admissions criteria and responds within ten (10) days of the notification, the Sponsor reserves the right to withdraw the prize and select an alternative winner. After the Sponsor successfully connects with the winner, the Sponsor will announce a winner has been chosen and identified within 7 days. Potential winners must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. In the event that a potential winner is disqualified for any reason, Sponsor will award the prize to an alternate winner by random drawing from among all remaining eligible entries.
  8. Data Protection: By entering the prize draw, participants agree to the use of their personal data for the purposes of administering this promotion in accordance with the Sponsor’s Privacy Policy at edconic.com/privacy-policy.
  9. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Giveaway, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Giveaway, as determined by Sponsor in its sole discretion, without prior notice. In the event Sponsor is prevented from awarding the prize or continuing with the Giveaway as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, or terminate the Giveaway. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. The Giveaway is in no way sponsored, endorsed or administered by, or associated with, Instagram.
  10. Release: By receipt of any prize, winner, and with respect to minors winner’s parents or legal guardians, agree(s) to release and hold harmless Sponsor, its respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Giveaways or receipt or use or misuse of any prize.
  11. Limitation of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by Entrants, printing errors or by any of the equipment or programming associated with or utilized in the Giveaway; (2) technical failures of any kind including, but not limited to, malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Giveaway; (4) technical or human error which may occur in the administration of the Giveaway or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Giveaway or receipt or use or misuse of any prize. If for any reason an Entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, Entrant’s sole remedy is another entry in the Giveaway, provided that, if it is not possible to award another entry due to discontinuance of the Giveaway, or any part of it, for any reason, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. Sponsor is not responsible for typographical or other errors in the offer or administration of this contest including, but not limited to, errors in advertising, the Official Rules, the selection and announcement of a winner, or the distribution of any prize. Sponsor is not liable for lost, late, stolen or misdirected entries. The Released Parties: (1) make no warranty, guaranty or representation of any kind concerning any prize; (2) disclaim any implied warranty; and (3) are not liable for injury, loss, or damage of any kind resulting from the acceptance or use of any prize, travel related thereto or from participation in this Giveaway. By entering this Giveaway, Entrant agrees to be bound by these Official Rules and all decisions of the judging organization. If any activity relating to any prize is canceled or postponed for any reason, the balance of that prize will be awarded in full satisfaction of prize award.
  12. Disputes: Except where prohibited, Entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Giveaway or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Southern District of New York or the appropriate New York State Court located in New York County, New York; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Giveaway, but in no event attorneys’ fees; and (3) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Giveaway, shall be governed by, and construed in accordance with, the laws of the State of New York without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.
